Restaurant Partner Agreement

Effective Date: July 2026

This Restaurant Partner Agreement (“Agreement”) is entered into between NorthBite Inc. (“NorthBite”) and the Restaurant Partner (“Restaurant”).

1. Purpose

NorthBite provides an online marketplace connecting restaurants with customers seeking food delivery and pickup services.

2. Restaurant Responsibilities

The Restaurant agrees to:

  • Maintain all required business licenses and permits.
  • Comply with all applicable food safety laws and regulations.
  • Provide accurate menu information, pricing, ingredients, and allergens.
  • Prepare orders according to accepted quality standards.
  • Ensure timely preparation of orders.

3. Menu and Pricing

The Restaurant is responsible for maintaining accurate menu listings and prices on the NorthBite Platform. Any changes must be promptly updated through the Restaurant Portal or communicated to NorthBite.

4. Order Fulfillment

The Restaurant agrees to:

  • Accept or reject orders promptly.
  • Prepare orders within the estimated preparation time.
  • Properly package food to maintain quality and safety during delivery.

5. Commission and Fees

The Restaurant agrees to pay NorthBite the agreed commission and service fees as outlined in Schedule A of this Agreement.

6. Payments

NorthBite will remit payments to the Restaurant according to the agreed payout schedule, less applicable commissions, refunds, chargebacks, and fees.

7. Food Safety and Compliance

The Restaurant remains solely responsible for:

  • Food preparation
  • Food quality
  • Food safety
  • Compliance with health regulations

8. Marketing and Promotion

The Restaurant grants NorthBite a non-exclusive license to use its business name, logo, menu, and promotional materials for marketing purposes.

9. Intellectual Property

Each party retains ownership of its trademarks, logos, and intellectual property.

10. Indemnification

The Restaurant agrees to indemnify NorthBite against claims arising from food quality, food safety incidents, or regulatory violations.

11. Termination

Either party may terminate this Agreement with thirty (30) days written notice.

NorthBite may terminate immediately for:

  • Food safety violations
  • Fraudulent activity
  • Repeated service failures

12. Governing Law

This Agreement shall be governed by the laws of Alberta and Canada.
